50% + 1 share Atlantia, 30% ACS, 20% - 1 share Hochtief

Description of the transaction

Under the partnership agreement entered into in order to complete the acquisition of Abertis, which among other things resulted in Atlantia’s acquisition of an approximate 24% stake in Hochtief, on 29 October 2018, Atlantia, ACS and Hochtief completed the indirect acquisition of almost all Abertis’s issued capital, followed by the acquired company’s delisting.

Strategic rationale for the transaction

The transaction allowed the creation of the main partnership in the transportation infrastructure, integrating financial, operational and construction competences.

ACS is a Spanish-based global leader in the construction, infrastructure and concessions, where it operates through other companies of the group such as Dragados, the listed company Hochtief (which controls the listed Australian company CIMIC), Grupo Cobram Iridium and the stake in Abertis. https://www.grupoacs.com/home/
